STANDARD TERMS AND CONDITIONS OF SALE
1. Applicability
The client explicitly waives its own standard terms and conditions, even if such terms were issued after acceptance of these Terms and Conditions. Any modification or derogation must be expressly agreed upon in writing by Intricate Security LLC in advance to be valid.
2. Payment Terms
Invoices issued by Intricate Security LLC are payable within 21 working days, unless otherwise specified on the invoice or order confirmation.
- Late Payment: In the event of non-payment by the due date, Intricate Security LLC reserves the right to apply a fixed late interest charge of 10% of the outstanding balance.
- Suspension of Services: Intricate Security LLC may suspend delivery of any cybersecurity services without prior notice until payment is received.
- Debt Collection: If payment remains outstanding more than sixty (60) days past the due date, Intricate Security LLC may engage a debt recovery service. The client will be responsible for all recovery and legal expenses incurred.
3. Delivery Delays
If a Delivery Delay lasts longer than fifteen (15) business days (“Extended Delay”), Intricate Security LLC will have the right to:
- Suspend activity on the Client’s project, including withholding services, and
- Reallocate resources to other projects.
At such time that the Client remedies the cause of the Extended Delay, and provided Intricate Security LLC agrees to reengage on the project, the Client shall pay Intricate Security LLC a Project Re-Engagement Fee equal to 20% of the total cost of the project. This fee must be paid prior to resumption of services or additional work.
4. Withholding Taxes
Certain jurisdictions may impose withholding taxes under their local legislation. Such taxes remain the sole responsibility of the client. Intricate Security LLC will not be liable for or absorb such costs. All invoices must be paid in full and free of deductions. The client shall remit any required withholding directly to its tax authorities.
5. Service Delivery and Obligations
Intricate Security LLC commits to delivering professional cybersecurity services in accordance with agreed project scopes and timeframes. However:
- Our services are provided on a best-efforts basis and do not constitute a guarantee of specific results.
- Intricate Security LLC shall not be held liable for indirect damages, loss of profit, business interruption, or third-party claims brought against the client.
- Intricate Security LLC shall not be compelled to act as a third party in any claim for damages filed against the client by its customers or partners.
6. Claims and Complaints
Any complaint relating to invoices, deliverables, or services must be submitted to Intricate Security LLC in writing via certified/recorded delivery to the registered office within 8 calendar days of service delivery or invoice receipt. Claims submitted after this timeframe will not be considered.
7. Governing Law
All contractual relations between Intricate Security LLC and its clients shall be governed exclusively by the laws of the United States and the State of Michigan, without regard to conflict of law principles.
